Agreement To Terms
These Terms Of Service govern your access to and use of Clerk Chat. By creating an account, joining a workspace, or using the service, you agree to these terms.
If you use Clerk Chat on behalf of a company or other organization, you confirm that you have authority to accept these terms for that organization.
Accounts And Workspaces
You are responsible for keeping your account secure and for activity that happens in workspaces you create or manage.
Keep account information accurate and notify us if you believe someone has accessed your account without permission.
Acceptable Use
Do not use Clerk Chat for unlawful, harmful, abusive, deceptive, or privacy-invasive activity.
You may not interfere with the service, attempt to bypass limits, reverse engineer protected parts of the product, or use the service to distribute malware, spam, or unauthorized surveillance.
Customer Content
You retain ownership of source material, agent instructions, conversation content, and other content you submit to Clerk Chat.
You grant us the rights needed to host, process, display, and transmit customer content solely to provide, secure, support, and improve the service.
AI-Generated Responses
Clerk Chat may help generate responses from the content and settings you provide. Generated responses may be incomplete, inaccurate, or inappropriate for a specific situation.
You are responsible for configuring agents, reviewing important outputs, and deciding how responses are used with your customers.
Billing And Subscriptions
Paid plans, usage limits, renewal terms, and fees are shown before purchase or in your billing settings.
You are responsible for applicable taxes and for keeping billing details current. Unless stated otherwise, fees are non-refundable except where required by law.
Availability And Changes
We work to keep Clerk Chat reliable, but the service may be temporarily inaccessible for maintenance, updates, incidents, or factors outside our control.
We may change, suspend, or discontinue parts of the service when needed. When practical, we will give notice of material changes that affect your use of the product.
Intellectual Property
Clerk Chat, including its design, software, branding, and documentation, is owned by us or our licensors and is protected by intellectual property laws.
These terms do not transfer ownership of Clerk Chat to you, and you may use the service only as allowed by these terms.
Termination
You may stop using Clerk Chat at any time. We may suspend or terminate access if you violate these terms, create risk for the service or other users, or fail to pay amounts owed.
Termination does not affect obligations that should reasonably continue, including payment obligations, ownership rights, disclaimers, and liability limits.
Disclaimers
Clerk Chat is provided as is and as available. We do not promise that the service will be uninterrupted, error-free, or fit for every particular purpose.
To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement.
Limitation Of Liability
To the fullest extent permitted by law, Clerk Chat will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill.
Our total liability for claims relating to the service is limited to the amounts you paid to Clerk Chat for the service in the 12 months before the event giving rise to the claim.
